Represents shares of Common Stock that were automatically added to the shares authorized for issuance under the Tocagen Inc. 2017 Employee Stock Purchase Plan (the 2017 ESPP), on January 1, 2020 pursuant to an evergreen provision contained in the 2017 ESPP. Pursuant to such provision, on January 1 of each year through January 1, 2027, the number of shares authorized for issuance under the 2017 ESPP is automatically increased by a number equal to the lesser of: (a) 1% of the total number of shares of the Registrants capital stock outstanding on December 31 of the preceding calendar year; (b) 300,000 shares; or (c) a number of shares of Common Stock that may be determined by the Registrants Board of Directors that is less than (a) and (b).

We have acted as counsel to Tocagen Inc., a Delaware corporation (the “Company”), and you have requested our opinion in connection with the filing by the Company of a registration statement on Form S‑8 (the “Registration Statement”) with the Securities and Exchange Commission, covering the offering of up to an aggregate of 1,194,962 shares of the Company’s Common Stock, $0.001 par value (the “Shares”), including (i) 955,970 shares reserved for issuance pursuant to the Company’s 2017 Equity Incentive Plan, as amended (the 2017 Plan), and (ii) 238,992 shares reserved for issuance pursuant to the Company’s 2017 Employee Stock Purchase Plan (the “2017 ESPP”).
